Each trade is a separate contract
Nothing on this website sets out the terms of any trade. Each trade is governed exclusively by a contract executed separately between IntelliCycle Inc. and the counterparty. That contract, not this website, is the source of the commercial and legal terms that apply to a trade.
What the contract covers
The contract executed for a trade is negotiated for that trade, and its terms are not published here. It typically addresses matters including:
- Inspection and assay: before a trade closes, the material is inspected and assayed by an independent party agreed between the parties, and the contract sets out the umpire procedure used if the buyer and the seller do not agree on the result.
- Escrow and milestones: payment for the trade is placed in escrow and released against milestones agreed in the contract, rather than paid in full upfront or on delivery alone.
- Freight and customs: the contract allocates responsibility for freight, customs clearance, and other logistics between the parties at each stage of the journey from origin to delivery.
- Delivery terms: the contract sets out how and where the material is to be delivered, and when risk and title pass from one party to the other.
- Governing law and dispute resolution: the contract states the law that governs the trade and how a dispute between the parties is to be resolved.

Nothing on this website, including any figure, description, or example, is an offer, a price, or a commitment by IntelliCycle to trade. A trade exists only once a contract has been executed by both parties, and until then either side is free to walk away.
Opening an account first
Before a trade can be discussed in detail, a counterparty opens an account on the application and completes verification. Opening and holding that account is governed by our Terms of Service and Privacy Policy, not by this page.
